1. Agreement to Terms

By accessing or using RulzAI ("Service"), operated by Point9 AI ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you do not have permission to access the Service.

2. Use License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

This license does not include the right to:

• Modify or copy the Service or any part of the Service
• Use the Service for any commercial purpose outside of your organization
• Attempt to decompile or reverse engineer any software contained in the Service
• Remove any copyright or proprietary notations from the Service
• Transfer the Service to another person or entity

3. Data Processing and Privacy

We process your data in accordance with our Privacy Policy and applicable data protection laws, including GDPR and SOC 2 requirements. You retain all rights to your data, and we act as a data processor on your behalf. We implement appropriate technical and organizational measures to ensure the security of your data.

4. Customer Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Ensuring your use of the Service complies with applicable laws
• The accuracy and legality of data you input into the Service
• Providing accurate billing and contact information

5. Acceptable Use

You agree not to:

• Use the Service in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers
• Use the Service to transmit malware, viruses, or harmful code

6. Subscription and Billing

The Service is provided on a subscription basis. You agree to pay all fees according to the pricing plan you selected. Fees are non-refundable except as required by law or expressly stated in your subscription agreement. We reserve the right to modify pricing with 30 days notice to existing customers.

7. Service Level and Support

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. Support is provided according to your subscription tier. We reserve the right to perform scheduled maintenance with advance notice.

8. Intellectual Property

The Service and its original content, features, and functionality are owned by Point9 AI and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You retain ownership of your data and grant us a limited license to process it to provide the Service.

9. Termination

Either party may terminate the agreement with written notice. We may immediately suspend or terminate your access if you breach these Terms. Upon termination, we will provide you with the ability to export your data for 30 days, after which it may be deleted.

10. Limitation of Liability

To the maximum extent permitted by law, Point9 AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

11. Indemnification

You agree to indemnify and hold harmless Point9 AI and its affiliates from any claims, damages, losses, liabilities, and expenses arising from your use of the Service or violation of these Terms.

12. Governing Law

These Terms shall be governed by the laws of Switzerland, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Zurich, Switzerland.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
